Indemnification

You agree to defend, indemnify, and hold harmless Intervention Soluções Tecnológicas Ltda, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

You shall not settle any claim that imposes any obligation, restriction, or liability on Intervention without Intervention's prior written consent.

Governing Law & Jurisdiction

These Terms of Use and any dispute, controversy, or claim arising out of or in connection with them — including any questions of their validity, interpretation, breach, or termination — shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict-of-law principles.

The parties agree to submit to the exclusive jurisdiction of the courts of the judicial district of São Paulo, State of São Paulo, Brazil, for the resolution of any disputes arising from or related to these Terms or your use of the Site. You hereby irrevocably waive any objection to the laying of venue in such courts and any claim that such courts constitute an inconvenient forum.

For disputes involving matters governed by Brazilian consumer protection law (Law No. 8.078/1990), the rules established by that statute regarding jurisdiction and consumer rights shall prevail over any conflicting provision in these Terms, to the extent required by law.

Changes to These Terms

Intervention reserves the right to modify, update, or replace these Terms of Use at any time and for any reason, at our sole discretion. When we make material changes to these Terms, we will update the "Last updated" date at the top of this page and, where appropriate, take additional steps to notify users of significant updates — such as posting a notice on the homepage of the Site or sending a communication to registered contacts.
